Terms of Service

These Terms of Service ("Terms") govern your use of cervinadvisors.com and any services you purchase from Cervin Advisors LLC, a Texas limited liability company ("Cervin," "we," "us"). By using this site or engaging our services you agree to these Terms.

1. Services

We provide business advisory, consulting and shared-staffing services as described on this website. The specific scope, deliverables, schedule and fees for each engagement are set out in a written proposal or statement of work ("SOW") signed by both parties. If an SOW conflicts with these Terms, the SOW controls for that engagement.

2. Fees, billing and payment

• All fees are quoted and payable in U.S. dollars.
• Hourly services are invoiced monthly in arrears; retainers are invoiced monthly in advance; projects are invoiced per the milestone schedule in the SOW.
• Invoices are due within 15 days unless the SOW states otherwise, and may be paid by credit/debit card or ACH bank transfer through our third-party payment processor. By authorizing a recurring payment you allow us to charge the agreed amount on the agreed schedule until you cancel.
• Pre-approved, reasonable out-of-pocket expenses are billed at cost.
• You are responsible for any applicable taxes other than taxes on our income.

3. Refunds, cancellations and disputes

Refunds, cancellations and billing disputes are handled under our Refund, Cancellation & Dispute Policy, which is part of these Terms.

4. Client responsibilities

You agree to provide timely access to the information, people and systems reasonably needed for us to perform the services, and you are responsible for decisions you make based on our advice.

5. Professional disclaimer

Our services are business and operational advisory services. We are not a law firm, a certified public accounting firm, a registered investment adviser or a licensed broker, and nothing we provide is legal, tax, audit or investment advice. You should consult appropriately licensed professionals for those matters.

6. Confidentiality

Each party will keep the other's non-public business information confidential and use it only to perform or receive the services, except as required by law.

7. Intellectual property

Upon full payment, you own the final deliverables created specifically for you under an SOW. We retain ownership of our pre-existing tools, methods, templates and know-how, and grant you a non-exclusive license to use any of them incorporated into your deliverables for your internal business purposes.

8. Warranties and limitation of liability

We will perform services in a professional and workmanlike manner. Except as expressly stated, services and this website are provided "as is." To the maximum extent permitted by law, our total liability arising out of any engagement is limited to the fees you paid for that engagement in the 12 months preceding the claim, and neither party is liable for indirect, incidental or consequential damages.

9. Promotions

We do not currently offer promotions, discounts or referral programs. If we do in the future, the specific terms, eligibility and expiration of each promotion will be posted on this page or stated in writing with the offer.

10. Legal and export restrictions

Our services are offered to businesses located in the United States. We do not provide services to persons or entities subject to U.S. sanctions or export restrictions, and you agree not to use our services in violation of applicable export-control or sanctions laws.

11. Website use

Content on this website is provided for general information only and may change without notice. You may not misuse the site, attempt to gain unauthorized access, or copy its content for commercial purposes without permission.

12. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute will be brought in the state or federal courts located in Dallas County, Texas.

13. Changes

We may update these Terms from time to time. The "Last updated" date above shows when they last changed. Changes do not affect SOWs already signed.
